VagusX Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VagusX, Inc. ("VagusX") website (vagusx.ai) and clinical AI infrastructure services. By using our Service, you agree to be bound by these Terms.

1. Nature of Service

VagusX provides an autonomous agentic AI infrastructure layer ("The Service") designed to automate clinical and administrative workflows for healthcare organizations.

2. Acceptable Use

You agree not to misuse the Service. Prohibited activities include attempting to gain unauthorized access to the Service, introducing malicious code, interfering with system security, or using the Service in violation of applicable laws or regulations.

3. No Medical Advice

VagusX IS AN INFRASTRUCTURE PROVIDER. THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. All clinical decisions, patient interactions, and treatments are the sole responsibility of the licensed Healthcare Provider.

4. Provider Representations & HIPAA

By using the Service, you represent and warrant that:

• You are a "Covered Entity" or "Business Associate" as defined by HIPAA.
• You have obtained all necessary patient consents and authorizations to share PHI with VagusX.
• A valid Business Associate Agreement (BAA) is in place between you and VagusX.

5. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6. Data Ownership & Intellectual Property

• Provider Data: You retain all rights and title to the clinical data and PHI ingested into the Service.
• VagusX Property: VagusX owns all rights, title, and interest in the Service, including the 5-layer deterministic stack, AI orchestration logic, and "Interaction Envelope" protocols.
• Limited License: You grant VagusX a limited, non-exclusive license to process your data solely to provide the Service to you.
• Google User Data: Notwithstanding the above, any data accessed via Google Restricted Scopes (Gmail, Drive) is used solely to facilitate the specific user-requested feature (e.g., "Intake Processing") and is never intermingled with other customers' data or used for cross-client analytics.

7. AI Reliability & Decision Traceability

The Service utilizes Large Language Models (LLMs) to resolve tasks. VagusX provides Decision Traceability Logs for every AI interaction. You are responsible for reviewing these logs as part of your practice’s quality assurance protocols.

8. Indemnification

You agree to indemnify and hold harmless VagusX, Inc. and its officers from and against any claims, damages, or liabilities arising out of (a) your breach of these Terms, (b) your violation of any patient’s privacy rights, or (c) your clinical decisions made in connection with the Service.

9. Limitation of Liability

VagusX, Inc. shall not be liable for any indirect or consequential damages. Our total liability is limited to the amount paid by you for the Service in the 12 months preceding the claim.

10. Dispute Resolution (Binding Arbitration)

Any dispute arising from these Terms will be settled by binding arbitration in the State of Delaware. You waive your right to participate in a class-action lawsuit or class-wide arbitration.

11. Governing Law

These Terms are governed by the laws of the State of Delaware.
